Terms of Service

1. About These Terms
These Terms of Service (“Terms”) govern your access to and use of the Brookstone Trade platform (“the Platform”), operated by Brookstone Trade Limited, a registered company (Company No. 16914827), with its registered office at 16 Oaklands Wood, Hatfield, AL10 8LU, England.
By accessing the Platform — whether as a prospective customer completing an onboarding form, a supplier submitting prices, or an authorised internal user — you agree to be bound by these Terms. If you do not agree, do not use the Platform.
These Terms apply to the Platform only. Separate commercial terms (terms of supply, credit agreements, and individual order confirmations) govern the trading relationship between Brookstone Trade and its customers and suppliers; those documents take precedence over these Terms in the event of conflict.
2. The Platform
The Platform provides the following functionality:
- Customer onboarding — submission of company, contact, and bank details for account opening, including digital signature of the customer terms of supply.
- Pricing — generation and distribution of customer-specific price lists by authorised Brookstone staff.
- Order management — creation, tracking, and invoicing of orders by authorised staff.
- Supplier portal — submission of product prices by authorised suppliers.
- Finance & reporting — invoices, account statements, and payment tracking for authorised staff.
Access to most areas of the Platform is restricted to users with an authorised account. The customer onboarding form is publicly accessible.
3. Accounts and Access
3.1 Authorised Users
Accounts on the Platform are created by Brookstone administrators and are not available for self-registration (except via the onboarding process). You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
You must notify us immediately at legal@brookstonetrade.com if you suspect unauthorised access to your account.
3.2 Roles and Permissions
Access to data and functions is controlled by your assigned role (admin, supplier, or viewer). You must not attempt to access functionality or data outside your assigned permissions.
3.3 Account Suspension
Brookstone may suspend or disable your account at any time if we reasonably believe you have breached these Terms, misused the Platform, or your authorisation has been withdrawn (e.g. change of employment).
4. Onboarding Submissions
4.1 Accuracy of Information
By submitting an onboarding application you warrant that all information provided — including company details, contact information, bank details, and trade references — is accurate, complete, and not misleading. Brookstone relies on this information to assess your application and open a trading account.
4.2 No Guarantee of Approval
Submission of an onboarding form does not guarantee that a trading account will be opened. Brookstone reserves the right to decline any application without providing reasons.
4.3 Digital Signature
Where you are asked to sign a document through the Platform using an email one-time passcode (OTP), you agree that such signature is legally equivalent to a handwritten signature and constitutes your binding acceptance of the document signed, in accordance with applicable electronic signature laws.
4.4 Bank Details
Bank account details submitted during onboarding are used solely for credit assessment and payment processing purposes. They will not be shared with any third party except as required by law or with your express consent.
5. Acceptable Use
You must not use the Platform to:
- Submit false, misleading, or fraudulent information.
- Access, copy, or extract data beyond the scope of your authorised role.
- Attempt to reverse-engineer, decompile, or circumvent any security control of the Platform.
- Introduce malware, viruses, or any code designed to disrupt or damage the Platform.
- Use automated tools (bots, scrapers, crawlers) to access the Platform without prior written consent.
- Breach any applicable law, including data protection and privacy legislation.
- Infringe the intellectual property rights of Brookstone or any third party.
6. Intellectual Property
The Platform, including its design, code, content, and trade marks, is owned by or licensed to Brookstone Trade Limited. Nothing in these Terms grants you any right in the Platform's intellectual property other than the limited right to use the Platform for its intended purpose.
Data you submit to the Platform (company details, pricing, order information) remains your data. You grant Brookstone a licence to process that data to the extent necessary to provide the Platform's services.
7. Availability and Changes
We aim to keep the Platform available but do not guarantee uninterrupted or error-free access. We may suspend the Platform for maintenance, updates, or reasons beyond our control without notice.
We reserve the right to modify or discontinue any feature of the Platform at any time. We will provide reasonable notice of material changes where practicable.
8. Limitation of Liability
To the fullest extent permitted by law, Brookstone Trade Limited shall not be liable for any indirect, incidental, special, or consequential loss arising out of or in connection with your use of the Platform, including loss of profits, loss of data, or business interruption.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by applicable law.
The Platform is a trade management tool. Commercial disputes relating to specific orders, invoices, or payments are governed by the separate terms of supply agreed between Brookstone and the relevant customer.
9. Third-Party Services
The Platform integrates with third-party services including Google Firebase, Xero, Resend, and Google reCAPTCHA. Your use of the Platform may involve data being processed by these providers. We are not responsible for the availability or conduct of third-party services. See our Privacy Policy for details of how personal data is shared with these providers.
10. Data Protection
Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Platform you acknowledge that you have read and understood the Privacy Policy.
11. Changes to These Terms
We may update these Terms from time to time. The effective date at the top of this page will reflect the current version. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. For material changes, we will notify active users by email where practicable.
12. Governing Law and Jurisdiction
These Terms are governed by the law stated in your applicable commercial agreement with Brookstone. Where no separate agreement specifies governing law and jurisdiction, disputes will be handled by the competent courts of the jurisdiction where Brookstone's contracting entity is established, unless otherwise required by mandatory law.
